THIS PROJECT IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY FACEBOOK OR INSTAGRAM.  ENTRANT IS PROVIDING ENTRANT’S INFORMATION TO SPONSOR.  QUESTIONS REGARDING THIS PROJECT SHOULD BE DIRECTED TO SPONSOR AT ALLBLKSWEEPSTAKES@ALLBLK.TV, NOT DIRECTED TO INSTAGRAM OR FACEBOOK.

 

 

General:  Partners in Rhyme: ALLBLK Sweepstakes (the “Project“) is administered by RLJ Entertainment, Inc. (“RLJ“).  These Official Rules form a binding legal agreement between an eligible entrant (eligibility defined below) (the “Entrant”) and RLJ with respect to Project.  Entrant will also be asked to review and agree to abide by these Official Rules as well as agree to certain stipulations as a condition to any submission Entrant makes in connection with Project. Entrant must follow all instructions to be considered in Project.  These Official Rules may be modified from time to time by RLJ without any notice to any Entrant, and any such modifications shall be effective as of the date they are posted on  www.allblk.tv/ALLBLKSweeps (the “Website”).  RLJ reserves the right to suspend or cancel any Project, due to a lack of a significant number of participants or qualified entries, as determined in RLJ’s sole and absolute discretion.

 

  1. Eligibility: The Project is open to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older as of the time of entry. The following individuals are not eligible to participate in Project: employees, independent contracts, directors, and officers of RLJ (“Sponsor“), its parent companies, subsidiaries, and affiliates, the judging organization, and any other individual or company involved in the development, promotion, or execution of the Project, including advertising, promotional and service agencies (collectively “Project Parties”), and any spouse, parent, child or sibling of Project Parties and any individual living in the same household as Project Party. By entering Project, Entrant affirms his/her eligibility, represents and warrants that he/she has reviewed the terms of use and privacy policy of RLJ, and agrees to be bound by these Official Rules, the terms of use of the Website, the terms of use of Facebook, and the terms of use of Instagram and all decisions of Sponsor, which are final, binding, and conclusive with respect to all matters relating to the Project. False and/or deceptive entries or acts shall render entrants ineligible. One (1) entry per person (whether entered via Facebook or Instagram) will be accepted for this Project.  Void where prohibited by law.  Project is subject to all applicable federal, state, and local laws and regulations.

 

  1. How to Enter: To enter, Entrants must (i) click on the Partners in Rhyme: ALLBLK Sweepstakes advertisement on Facebook or Instagram and (ii) submit their first name, last name, and email address on the form provided in connection with the Project (the “Entry”). Only one (1) entry per entrant shall be allowed. All incomplete or non-conforming entries will be disqualified.  The Entry must be submitted between 12:00:00 am Pacific Time (“PST”) on November 19th, 2021 and 11:59:59 pm PST on November  28th, 2021 (the “Promotion Period“).

 

 

  1. Winner Selection Process: The Sponsor shall select: one (1) Winner via a random drawing from among all eligible entries received during the Promotion Period within seven (7) days following the Promotion Period (jointly and severally referred to herein as “Winner(s)”).  The odds of winning depend on the number of eligible entries received during the Promotion Period.

 

  1. Prize: The Winner(s) shall receive a virtual meet and greet with MC Lyte via ZOOM, a code for a free one-year subscription to ALLBLK, and autographed memorabilia (total value of prize: $50.00 USD). Prize is non-transferable. Sponsor reserves the right in its sole discretion to substitute a prize with one of comparable or greater value. All federal, state and/or local income and other taxes, if any, are the winner’s sole responsibility. PRIZE WILL BE AWARDED “AS IS” WITH NO WARRANTY OR GUARANTEE, EITHER EXPRESSED OR IMPLIED, BY SPONSOR.

 

  1. Winner(s) Notification/Prize Claim: Potential winner(s) will be notified via email and may be required to complete and sign an Affidavit of Eligibility and Liability Release, and, where applicable and legally required, a Publicity Release and a W9, both of which must be returned within three (3) days of attempted prize notification or the prize will be forfeited and may be awarded to an alternate winner(s). In the event of noncompliance with these Official Rules, or if prize or prize notification is unclaimed or returned as undeliverable, the prize will be forfeited and may be awarded to an alternate winner(s).

 

  1. Additional Terms: Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process. Sponsor is not responsible for lost, late, misdirected, damaged or incomplete entries, or for transactions that are processed late or incorrectly computed or are lost, all of which are void, because of computer error or malfunctions. The Sponsor, Project Parties, Promotion Parties, Internet server(s), Internet access provider(s), Facebook, Instagram, and each of their respective affiliates, subsidiaries, parent corporations and advertising and promotional agencies, and all of their officers, directors, shareholders, employees and agents (collectively, “Released Parties”) are not responsible for: any incorrect or inaccurate Entry information; human error; technical malfunctions; failures, omission, interruption, deletion, or defect of any telephone network, computer online systems, computer equipment, servers, providers, or software, including any injury or damage to participant’s or any other person’s computer or cell phone device relating to or resulting from participation in this Project; inability to access any text message, email connection or web page, theft, tampering, destruction, or unauthorized access to, or alteration of Entries; Entries that are processed late or incorrectly or are incomplete or lost due to cellular device, computer or electronic malfunction or traffic congestion on the Internet or on any web site or email address, and/or cellular telephone lines; printing or other errors; and any Entries which are late, lost, incomplete, misdirected, stolen, undelivered, mutilated, illegible, or any combination thereof; or theft or destruction or corruption of Entries.  Proof of submitting an Entry is not considered proof of delivery or receipt.  Illegible, incomplete and duplicate Entries will be disqualified.  All Entries become property of Sponsor and will not be returned.  False and/or deceptive Entries or acts shall render entrants ineligible. By entering the Project, Entrants affirm that they have read and accepted these Rules. By accepting a prize, winner(s) consents to the use of their name, likeness, voice and/or biographical information for advertising and promotional purposes without additional compensation, except where prohibited by law. Winner(s), by acceptance of prize, acknowledges compliance with these Official Rules and agrees to release and hold Released Parties harmless from and against any claim or cause of action arising out of participation in the Project or the receipt, redemption or use of a prize, including any injuries or damages of any kind sustained in connection with the use, acceptance, possession or awarding of any prize. By participating in this promotion, Entrants agree to be bound by the Official Rules and by the decisions of the Sponsor. Sponsor reserves the right to modify prize award procedures at its discretion.  By entering, Entrants agree that this Project is governed by laws of the state of California for the resolution of all claims and disputes (excluding any claims against or disputes involving parties other than Sponsor relating to any prize awarded in the Project). CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROJECT MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR AND ADMINISTRATOR RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT OF THE LAW.

 

  1. Official Rules Requests: For a copy of these full Official Rules, mail a self-addressed, stamped envelope to: RLJ Entertainment, Inc., ATTN: Partners in Rhyme ALLBLK Sweepstakes, RLJ Entertainment, Inc., 6320 Canoga Ave., 8th Floor, Woodland Hills, CA 91367. Requests must be received by December 31st, 2021.

 

  1. Winners List: For the name of the prize Winner(s), mail a self-addressed, stamped envelope to: RLJ Entertainment, Inc., ATTN: Partners in Rhyme ALLBLK Sweepstakes, RLJ Entertainment, Inc., 6320 Canoga Ave., 8th Floor, Woodland Hills, CA 91367.
